Terms of Service | Org Chart Studio

1. Acceptance of Terms

Welcome to Org Chart Studio. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Org Chart Studio ("we," "us," or "Service") governing your access to and use of our organizational chart creation and management platform.

You accept these Terms and our Privacy Policy when you create an account and confirm your acceptance, and you must accept a revised version explicitly before you continue using the account features of the Service; continued use of the public pages is not acceptance. If you do not agree to these Terms, you may not access or use the Service. Optional analytics and similar technologies are only used as described in the Privacy Policy and only after you consent where consent is required.

2. Description of Service

Undo and redo edits, with recent history preserved across sessions

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. Account Registration and Security

3.2 Account Eligibility

3.3 Account Types

We offer a free tier, one-time export passes, and optional monthly and annual subscription plans, each with varying features and limitations. Your access to certain features depends on the plan or grant that covers the account, which may include: maximum number of charts; maximum nodes per chart; cloud sync and storage capabilities; version history retention; watermark requirements on exports; and, for a subscription, the billing interval, renewal date, and cancellation terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the Service in any way that violates applicable laws or regulations

5. User Content and Data

5.1 Your Content

You retain ownership of all organizational chart data, employee information, and other content you create or upload to the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, and display your User Content solely to provide and improve the Service.

We do not use your User Content to train AI models. Your organizational data is never used to train, fine-tune, or improve any artificial intelligence or machine learning system.

5.2 Responsibility for Content

You are solely responsible for your User Content. You represent and warrant that:

You own or have the necessary rights to use and authorize us to use your User Content
Your User Content does not violate any third-party rights, including privacy, publicity, copyright, trademark, or other intellectual property rights
You have appropriate authority or consent to store employee personal data in the Service, in accordance with applicable data protection laws
Your User Content complies with these Terms and all applicable laws

5.3 Data Privacy and Confidentiality

We understand that organizational charts may contain sensitive employee information. We treat your User Content as confidential and do not share, sell, or disclose it to third parties except as described in our Privacy Policy or as required by law.

5.4 Backup and Data Loss

While we implement regular backups and maintain version history (subject to plan entitlements), we recommend that you maintain your own backups of important organizational data. We are not responsible for any loss or corruption of your User Content.

6. Intellectual Property Rights

6.1 Our Rights

The Service, including its design, features, functionality, code, graphics, user interface, and all related intellectual property, is owned by Org Chart Studio and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or software.

6.2 Trademarks

"Org Chart Studio" and related logos are trademarks or registered trademarks. You may not use these trademarks without our prior written consent.

6.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our Service without any obligation to you.

7. Plan Entitlements and Limitations

Your access to features is determined by your account plan. Current entitlements are:

Free (new accounts): includes one cloud chart, built up to 2,500 people, with watermarked PNG exports up to 25 people. Larger exports, PowerPoint, and PDF require paid export access.

If you already hold more than one chart when this change takes effect, we retain all of them. If you have never bought a pass, you choose one chart to keep editable under the Free plan; the others remain available to read. If you have bought any pass before and your qualifying paid access has ended, we give you a one-time complimentary one-week pass, activated when you sign in. At the end of that week you may choose one chart to keep editable, buy another pass, or subscribe to a plan that includes chart access. If your paid access is still active, it continues unchanged and you receive no complimentary week, extension, or deferred grant; before it ends we will remind you that you may choose one chart to keep editable, buy another pass, or subscribe. The other charts remain available to read.

1-Day Export Pass: Charts up to the size tier purchased (250 to 2,500 people), clean (watermark-free) PNG, PowerPoint (PPTX), and PDF exports for 24 hours from activation
7-Day Export Pass: Charts up to the size tier purchased (250 to 2,500 people), clean (watermark-free) PNG, PowerPoint (PPTX), and PDF exports for 7 days from activation
30-Day Export Pass: Charts up to the size tier purchased (250 to 2,500 people), clean PNG, PowerPoint (PPTX), and PDF exports for 30 days from activation
Annual Export Pass: Charts up to the size tier purchased (250 to 2,500 people), clean PNG, PowerPoint (PPTX), and PDF exports for 365 days from activation

While any pass or subscription is active, the account that owns it can store up to 100 non-deleted charts. Archived and read-only charts count toward this limit, and charts shared with you count toward their owner's limit.

Export passes run for their stated duration and do not renew automatically. Monthly and annual subscriptions renew at the price and interval shown at checkout until cancelled. You can cancel future renewals in your account; paid access continues until the end of the paid period. We reserve the right to modify plan entitlements and pricing with reasonable notice to existing users.

Pass expiry alone does not delete your charts or their contents. One chart you explicitly choose stays editable; the others remain available to read, read-only. Renewing your pass restores editing on the same retained charts.

You can always download your chart data as CSV for the charts you can view. Other export formats need an active pass.

8. Payments

Choose a one-time export pass or an optional monthly or annual subscription. Stripe processes payments. Subscription prices and renewal intervals are shown before you confirm your purchase. By purchasing, you agree to the following:

All fees are stated in U.S. dollars
Payment is processed securely by Stripe; we do not store your card details (see Privacy Policy Section 4.5)
Activated export passes are non-refundable. Cancelling a subscription stops future renewals and does not refund the current paid period, except where required by law.
Passes are non-transferable and tied to the account used at the time of purchase
You are responsible for all taxes associated with your purchase
We reserve the right to change pass pricing with reasonable advance notice

If you have a billing dispute, please contact us at hello@orgchartstudio.com within 30 days of the charge.

9. Termination

9.1 Termination by You

You may delete your account at any time from your account settings. Upon deletion, your User Content will be permanently removed in accordance with our data retention policies.

9.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe:

Violates these Terms or our policies
Harms other users or the Service
Exposes us or other users to legal liability
Is otherwise inappropriate or harmful

9.3 Effect of Termination

When an account is terminated, future subscription renewals are cancelled. Access to the Service ends. Any refund rights required by law continue to apply. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

10. Disclaimers and Limitations of Liability

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or servers are free of viruses or other harmful components.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ORG CHART STUDIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Org Chart Studio and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms
Your use or misuse of the Service
Your User Content
Your violation of any third-party rights

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms and your use of the Service are governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law principles.

12.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

12.3 Class Action Waiver

To the extent permitted by law, any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Third-Party Services

The Service relies on third-party providers to operate (for example authentication, infrastructure, payments, and, if you allow it, analytics and session replay). Those providers, what they process, and your choices (including cookie and consent settings) are described in our Privacy Policy, which is the definitive list for privacy and subprocessors.

Your dealings with any third party (for example completing checkout with Stripe) may also be subject to that party's terms and policies. We are not responsible for the practices or content of third-party services beyond our configuration of them as described in our Privacy Policy.

14. Export Compliance

The Service may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and re-export restrictions and shall not access or use the Service in violation of such laws or regulations.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. When a revised version is published, you must accept it explicitly before you continue using the account features of the Service; continued use of the public pages is not acceptance. If you do not agree to the modified Terms, you must stop using the Service.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Org Chart Studio regarding the Service and supersede all prior agreements and understandings, whether written or oral.
